The value of the company is $218 billion, Pakistans GDP is 437 billion. in 2003 private shares of google were valued at 49 cents, today shares of the public stock passed $700. Insane growth, not to mention the company name became a global verb almost overnight.

When I see numbers like this of how many companies are worth more than a lot of countries, I imagine if we were to one day go back to the days when countries were run by companies for the profit of their shareholders (Hudson's Bay Company in Canada and the USA; East India company in the subcontinent).
Would corporate government lead to a more prosperous country than corrupt democracies or tinpot dicatorships?

layoffs would be kinda strange eh.
pakistan corp says that the country is not doing well financially and need to take drastic steps and reduce headcount by 20% although heavily focused on under perfmormign functions and non competitive functions.

It would lay off its salaried employees, just like any other company. The populution are not employees, so don't factor into the company headcount (the population doesn't receive wages to the corporation; instead the corporation would generate its revenuw through taxing the population.)
For Corporate government models, look at the colonial companies like the East India Company and Hudson's Bay Company.
Shareholder value would be threatened by a failure to develop the country; or by creating a hostile population. For example, the 1857 Indian Mutiny was a disaster for the East India Company's shareholders, because it led to the company being nationalised. You would expect shareholders in a future corporate government to pressure the board into ensuring the population remained happy.
On the other hand, shareholder value would increase if the country became prosperous and with a happy and productive population.

but u have to be a shatreholder i.e. contributing in some way to see value, and ppl need to realize that diff shatreholders have different level of shares and thus we will still see a disproportionate distribution of dividends.

The general population would see benefits as well, from reinvested profits. A good example is the money the East India Company put in to help build the first railways.
Corporate government would reinvest profits to enable greater future revenue.
Be it building more factories to drive output, building schools to enable to a more educated and thus productive population, or building infrastructure to facilitate greater economic activity, the Corporate Government would, like any company, invest some of its profits into future revenue generation.

The future looks bleak when you look at it from the perspective that we have corporations who can and do hire corporations (read Blackwater and co.) to secure their interest in foreign lands, where the hiring corporation has a budget bigger than countries and the security corporation can take out an small army if it gets to that point.
As they say, there is more money in 'security' than there is in commodities these days.

Why is the idea of corporate government bleak? If privately owned companies are more efficient and better run generally than state-owned companies.... I think the idea of the corporate nation-state could be interesting to explore.

Because it gives the board of directors, the CEO and CFO the authority on what goes on in a country rather than the people who live there. Being primarily motivated by profit, rather than betterment of the society at large, it will not be an interesting idea to explore.
