You should approach the person they are approaching and get there first. This way you can meet the first person that you really wanted to approach. Seems like a nice short cut.

Depends on how early or late in the approach they are. If they're not committed to the other person and are just exploring a friendship, you can "test the waters" and express your interest - then it's up to them. If they're committed to the other person, sorry, but it's too late for you.
But, like WF99 just said, don't make the approach unless you're actually to committed to making an effort - that's unfair to the person.

Approach with a bouquet, congratulate em for having being approached by your successor, and walk off. Cry beneath the pillow that night. For whole night.

You say that this girl is approaching someone else.
So, first....find out if she is already in a relationship. If she is, then leaving her alone would be best.
If she's not in a relationship, then....BEFORE....you even decide to start contact with her...you need to decide if you will be able to take things to the next level if a relationship develops with her. If you still can't take things to the next level, then it's a waste of her time and yours.....and that would be like leading her on (in the event that she develops a mutual interest).
