While I’ve had some experience with advisory boards, I really have little and only anecdotal and theoretical background in the functioning of board of directors. I’ve been approached by a national telecom company for a BoD position and am wondering what are some things I should consider before accepting or rejecting the offer.

I was on the board for a housing association, but this was 'non-profit' organisation so I don't know if it would be a similar experience. It was mainly Governance talk, performance reviews and thrashing out the processes and procedures that would enable the housing association to meet the 'Decent homes act' on time.
I think you should consider whether you are passionate and strong enough battle with long time established directors who may have their own agendas, there's always an 'unspoken' hierarchy and people very resistant to change. Bascially you need to be resiliant, passionate and always ready to back up your opinions with well researched facts.
